In the past few years, our teams have structured cross border merger, acquisition, license, joint venture and partnership agreements covering a broad swath of industries including telecommunications, entertainment, financing, professional services and manufacturing. We have created and implemented innovative offshore plans for individuals, companies and hedge funds seeking to optimize tax efficiencies, and we have advised start-ups in information technology, medical and lifestyle devices, research analytics, ultrahigh fidelity audio, and media relations, in seven jurisdictions.

Some of our corporate and commercial matters include:

  • restructuring multiple and geographically diverse entities in a multinational investment group to provide an effective base from which to grow telecommunications partnerships, alliances and joint ventures throughout Africa.
  • negotiating a shareholder's agreement through which the U.S. vendor of U.S. assets to a U.K. entity became a minority shareholder in the U.K. entity, with an unusual automatic buy-out provision based on the performance of the acquired business.
  • preparing a corrupt practices assessment for a Swiss firm planning to do business with U.K. and U.S. firms, which included drafting internal compliance guidelines for their executives.
  • the acquisition and forward management of a popular London theater and its recent disposition by an American investor.
  • a potential merger between a U.S. metals broker and a U.K. specialty steel manufacturer.
  • advising a South African developer of innovative data services to be offered throughout Southern Africa on how to obtain foreign financing and implement a smarter corporate structure.
  • advising on the acquisition of a U.S. direct e-mail marketing company with a 20 million member database.
  • negotiating and overseeing a content-sharing arrangement for a global charitable marketing campaign, including the distribution of advertising revenue and a complex formula for calculating baseline donations.

Some of our recent litigation work includes:

  • cases for sex and race discrimination and/or wrongful discharge brought against a global airline, a well-known U.S. charity, and several professional services firms in the U.S. and U.K. Each case was settled discreetly, involving not only a monetary award but reforms by the firms concerned intended to improve conditions for their employees and help the firms operate better.
  • a personal injury lawsuit successfully challenging the long-established doctrine that maritime law insulates shipowners from ever having to pay (1) any punitive damages for injuries their negligence causes to passengers, and (2) any damages at all when their shipboard doctors commit medical malpractice.
  • settling a long-standing dispute between a member of a foreign royal family and a British bank.
  • litigating a contract and capital share dispute on behalf of an entrepreneurial startup, while also working to protect and enhance the firm's reputation in its specialist market.
  • representing an entrepreneur embroiled in a media-sensationalized love-and-murder conspiracy triangle, negotiating with prosecutors who were investigating allegations against him.
  • advising a hedge fund executive who discovered that his firm had possibly broken the law about how to protect himself while also persuading the firm to face into its problems.
  • investigating whether the 2008 armed conflict between Russia and Georgia might permit individual victims of violence to sue in U.S. courts for violations of international humanitarian law.
